By creating an account or using RFPropel, you agree to these Terms of Service. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

Each account is for a single organisation. You may not share your account with other organisations or use a single account to serve multiple clients unless you have an explicit enterprise agreement permitting this.
The Service is offered on the following plans as published on our pricing page (subject to change with notice):
Credits are consumed when you use AI-powered features such as RFP parsing, bid/no-bid scoring, and AI draft generation. Credits are allocated monthly and do not roll over to the following month unless specified in your plan. We reserve the right to adjust Credit consumption rates with 30 days' notice.
Enterprise plans are available for high-volume users and include custom Credit limits, SLAs, data residency options, and dedicated support. Contact info@rfpropel.com for details.
Paid plans are billed monthly or annually in advance. All fees are exclusive of applicable taxes, which will be added to your invoice as required by law. Prices are stated in US Dollars unless otherwise agreed.
If payment fails, we will notify you and attempt to retry the charge. After 7 days of non-payment, we may suspend your account. After 30 days, we may terminate your account and delete your data. You are responsible for keeping your payment details current.
All payments are non-refundable except where required by applicable law or as expressly stated in these Terms. If you downgrade or cancel mid-cycle, you will retain access until the end of the current billing period.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
We reserve the right to suspend or terminate accounts that violate these provisions without notice.
You retain full ownership of all Content you upload to or create within the Service. By uploading Content, you grant RFPropel a limited, non-exclusive licence to store, process, and transmit your Content solely to provide the Service to you.

You are solely responsible for ensuring you have the rights to upload any Content and that doing so does not violate any third-party agreements (e.g., NDA restrictions on RFP documents).
The Service, including its software, design, trademarks, and documentation, is owned by RFPropel and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described herein.
Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
Each party agrees to keep the other's confidential information (including pricing, technical details, and business information) confidential and not to disclose it to third parties without prior written consent, except as required by law.
We warrant that we will provide the Service with reasonable care and skill. We do not warrant that:
AI-generated responses are drafts intended to assist your team and must be reviewed and approved by qualified professionals before submission. RFPropel is not responsible for the outcome of any bid or proposal.
To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties of any kind beyond those expressly stated.
To the maximum extent permitted by applicable law, RFPropel's total liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
In no event shall RFPropel be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such damages.
You agree to indemnify and hold harmless RFPropel and its directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
These Terms commence when you create an account and continue until terminated. Either party may terminate at any time:
On termination, your right to use the Service ceases. We will delete your Content within 30 days of termination unless we are required to retain it by law. You may export your data before termination.
These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Bengaluru, India, under the Arbitration and Conciliation Act, 1996.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, or internet outages.
